Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Catalog platform (the “Service”) operated by Catalog SAS. Together with the signed order form or agreement, they form the contract applicable between Catalog and the customer. In the event of a conflict between these public Terms and any signed agreement, order form, DPA, or special terms agreed with a Customer, the signed terms prevail.
1. Purpose
Catalog provides a B2B SaaS platform for automated order processing (Smart Order), intelligent email triage (Smart Inbox), and AI agents. These Terms set out the conditions under which the Service is made available to the customer.
2. Definitions
- “Catalog” means Catalog SAS, the operator of the Service.
- “Customer” means the legal entity that signs the order form or agreement.
- “User” means any individual authorized by the Customer to access the Service.
- “Customer Data” means all data provided by the Customer or its Users, or collected through integrations (emails, orders, products, ERP, etc.).
- “Documentation” means the product and technical documentation made available by Catalog.
3. Subscription and access
The Service is accessible after signing an order form or agreement specifying scope, subscribed modules, term, and pricing. Catalog provisions a Customer-specific environment in line with the contractual commitments.
Each User receives individual credentials and undertakes to keep them confidential. The Customer is responsible for the use of credentials issued to its Users.
4. Customer obligations
The Customer undertakes to:
- Use the Service in accordance with these Terms, the Documentation, and applicable laws.
- Not attempt to circumvent security mechanisms, reverse engineer, or otherwise tamper with the Service.
- Not use the Service for unlawful, fraudulent, or rights-infringing purposes.
- Hold the necessary rights and authorizations for the Customer Data submitted to the Service, including under the GDPR.
- Cooperate with Catalog in case of support, compliance, or security requests.
5. Catalog obligations
Catalog undertakes to:
- Provide the Service with the professional diligence expected.
- Implement appropriate technical and organizational security measures (encryption in transit and at rest, access control, logging, monitoring).
- Maintain Service availability in line with applicable service level commitments.
- Notify the Customer in case of a significant security incident affecting its data, within the timelines required by the GDPR.
6. Pricing and invoicing
Applicable pricing, invoicing terms, and payment terms are those set out in the signed order form or agreement. Unless otherwise specified, invoices are payable within the timeframe indicated on the invoice or, failing that, within thirty (30) days from their issue date.
Late payment, after a notice that remains unaddressed, gives rise to interest at the legal rate plus surcharge, as well as a fixed €40 collection fee per invoice.
7. Term and termination
The agreement is entered into for the term specified in the signed order form or agreement, and renews according to the conditions set out in the applicable agreement.
Either party may terminate the agreement by right, after a notice that remains unaddressed for thirty (30) days, in the event of a material breach by the other party.
Upon termination, Catalog provides the Customer, for a reasonable period, with technical means to export Customer Data, then deletes it in accordance with the applicable retention policy.
8. Intellectual property
Catalog retains all intellectual property rights in the Service, its code, models, interfaces, and Documentation. Nothing in these Terms is to be construed as a transfer of rights to the Customer, except for a non-exclusive, non-transferable right of use, limited to the term of the agreement.
The Customer retains full ownership of its Customer Data. The Customer authorizes Catalog to use Customer Data only to the extent necessary to operate the Service and in accordance with the applicable agreement.
9. Confidentiality
Each party undertakes to keep confidential the non-public information of the other party, to use it only for the purposes of performing the agreement, and to apply protection measures at least equivalent to those it applies to its own confidential information.
10. Personal data protection
Personal data processing is described in the Privacy Policy, available on the website at /privacy. Depending on the context, Catalog acts as a data controller or as a processor. Where Catalog acts as a processor, a data processing agreement (DPA) is entered into, either in the main agreement or as an annex.
11. Liability
Catalog’s liability under the agreement is limited to direct and foreseeable damages, and capped, all causes combined, at the amount of fees actually paid by the Customer during the twelve (12) months preceding the triggering event.
Catalog is not liable for indirect damages (loss of revenue, loss of opportunity, harm to reputation, etc.).
No limitation applies in case of gross negligence, willful misconduct, bodily injury, or where liability cannot be limited under applicable law.
12. Force majeure
Neither party is liable for a failure to perform resulting from a force majeure event within the meaning of article 1218 of the French Civil Code. The affected party informs the other party without delay and uses best efforts to limit the consequences.
13. Subprocessors
Catalog may rely on subprocessors to operate the Service. The list of subprocessors involved in personal data processing is set out in the Privacy Policy.
14. Changes
Catalog may evolve the Service and these Terms. Material changes adverse to the Customer are notified with reasonable notice. The Customer’s rights in case of refusal are those set out in the applicable signed agreement.
15. Governing law and jurisdiction
These Terms are governed by French law. Any dispute relating to their formation, performance, interpretation, or termination, failing amicable resolution, will be subject to the exclusive jurisdiction of the courts of Bordeaux, notwithstanding multiple defendants or third-party claims.
